North Point is dedicated to partnering with its clients to help them capitalize on their accomplishments by obtaining the highest value and optimal outcome for their brand. Our advisory practice provides confidential, strategic, and thoughtful advice to both public and private companies across all varieties and aspects of M&A transactions. We advise clients in a number of different situations across many industries and geographies.
When we advise companies about the potential acquisition of another company or certain assets, our services include evaluating potential acquisition targets, providing valuation analyses, evaluating and proposing financial and strategic alternatives and rendering, if required or desired, fairness opinions. We also advise as to the timing, structure, financing, and pricing of a proposed acquisition and assist in securing, negotiating, and closing the acquisition.
When we advise clients on the sale of a business, whether the entire company or a portion of it, our services include evaluating and recommending financial and strategic alternatives with respect to the sale, advising on the appropriate sale process, preparing a viable timeline and ensuring timely execution, assisting in preparing all confidential materials, contacting selected qualified acquirers, considering and helping overcome potential deal or valuation issues, and assisting in negotiating and closing the transaction. We also, if appropriate, render a fairness opinion related to the transaction.
North Point maintains a strategic focus on the financial sponsor industry and provides many of the above referenced services to our private equity clients. We understand the unique needs of the private equity community and have focused a significant portion of our practice servicing these financial sponsors and their portfolio companies. In this ongoing effort, we seek to offer our advisory services to our private equity clients in the context of both formal engagements and informal engagements beyond the scope of a specific transaction.
We understand that for a founder in particular, exploring strategic alternatives, and possibly an outright sale, for his or her company often represents a very significant life event, rife with meaningful rewards and challenges alike. We applaud these clients for their tenacity and for all of their remarkable accomplishments, and we consider our advisory relationships – and indeed, friendships – with them to be among the most rewarding aspects of our practice. At North Point, we have had the occasion of working with many founders in a variety of capacities, and we deeply appreciate the unique dynamics these entrepreneurs face as they engage our firm’s services.
North Point is well known for its independence, quality and thoroughness of work, and degree of senior-level attention devoted throughout the lifecycle of any given transaction. We do not underwrite securities, publish securities research, or act as a lender. We are therefore not burdened by these potential conflicts of interest when advising Boards of Directors and rendering fairness opinions. Our objectivity, integrity, and discretion are of the utmost importance to us and comprise a core pillar of our firm.
We often serve as an independent and objective advisor in financing situations. North Point has developed an expertise in assisting clients with respect to the entire spectrum of capital structure decisions, from underwriter selection and management to negotiation of both equity and debt financing terms and transaction execution.
